These Terms & Conditions ("Terms") govern your access to and use of the TechDevise website and services. By accessing our website, requesting a consultation, or engaging TechDevise ("we," "us," or "our") for services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

TechDevise provides digital marketing, mobile and web application development, CMS development, IT staffing, quality assurance, and related technology consulting services. Specific deliverables, timelines, and fees for any engagement are set out in a separate written proposal, statement of work, or service agreement ("Agreement") between TechDevise and the client, which forms part of, and takes precedence over, these Terms in the event of any conflict.

You agree to use our website only for lawful purposes. You must not:

• Use the website in any way that violates applicable local, national, or international law
• Attempt to gain unauthorized access to our systems, servers, or networks
• Introduce viruses, malware, or other harmful code through the website
• Scrape, copy, or reproduce substantial portions of our website content without permission

Unless otherwise agreed in writing, all content on this website — including text, graphics, logos, and design — is owned by TechDevise or its licensors and is protected by applicable intellectual property laws. Ownership of intellectual property created during a client engagement (such as source code, designs, and documentation) is governed by the applicable Agreement. Absent a specific provision, TechDevise transfers ownership of final deliverables to the client upon full and final payment, while TechDevise retains ownership of its pre-existing tools, frameworks, and general know-how used to deliver the work.

When engaging our services, you agree to:

• Provide accurate, complete, and timely information reasonably required for us to perform the services
• Obtain any necessary rights, licenses, or permissions for content or materials you provide to us
• Review and provide feedback on deliverables within agreed timeframes to avoid project delays
• Make payments in accordance with the applicable Agreement

Fees, payment schedules, and accepted payment methods for any engagement are set out in the applicable Agreement. Unless stated otherwise, invoices are due within the period specified on the invoice, and TechDevise reserves the right to suspend work on overdue accounts until payment is received.

Each party agrees to keep confidential any non-public, proprietary information disclosed by the other party in connection with an engagement, and to use such information only for the purposes of that engagement, except where disclosure is required by law.

We strive to deliver services with reasonable skill and care in accordance with industry standards. Except as expressly set out in an applicable Agreement, our website and services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our website will be uninterrupted, error-free, or free of harmful components.

To the maximum extent permitted by applicable law, TechDevise shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or in connection with your use of our website or services, even if advised of the possibility of such damages. Our total aggregate liability arising out of any engagement shall not exceed the total fees paid by the client to TechDevise for the services giving rise to the claim in the preceding twelve (12) months, unless otherwise agreed in writing.

You agree to indemnify and hold TechDevise harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of our website or services, or your violation of any applicable law or third-party right.

Our website may reference or link to third-party websites, tools, or services that are not owned or controlled by TechDevise. We are not responsible for the content, accuracy, or practices of any third-party site or service, and inclusion of any link does not imply endorsement.

Either party may terminate an ongoing engagement in accordance with the terms set out in the applicable Agreement. We reserve the right to suspend or restrict access to our website at our discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, our business, or third parties.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or an engagement with TechDevise shall first be addressed through good-faith negotiation and, if unresolved, shall be subject to the exclusive jurisdiction of the courts located in Punjab, India, unless otherwise specified in an applicable Agreement.

We may revise these Terms from time to time. Updated Terms will be posted on this page with a revised "last updated" date. Continued use of our website or services after changes take effect constitutes acceptance of the revised Terms.
